TERMS AND CONDITIONS OF SALE – TRADE CUSTOMERS

These Terms and Conditions of Sale (“Terms”) apply to orders placed with Core Trading UK LTD (“Core Trading”, “we”, “us” or “our”), including orders placed through our website.
These Terms are intended for business customers only. By applying for a trade account, placing an order or accepting these Terms, you confirm that you are acting wholly or mainly for the purposes of your trade, business, craft or profession and not as a consumer.
If you are purchasing primarily for personal use, you must not place an order through our trade website.
1. TRADE ACCOUNTS
1.1 Our trade website, trade pricing and wholesale services are intended for businesses, including retailers, salons, professional users, resellers, distributors and other commercial customers.
1.2 Trade accounts are subject to approval by Core Trading.
1.3 We may request information reasonably required to verify your business before approving or maintaining a trade account.
1.4 We reserve the right to approve, refuse, suspend or close a trade account where reasonably necessary.
1.5 You are responsible for ensuring that the information provided when applying for or using your trade account is accurate and kept up to date.
1.6 Login credentials are personal to the approved account and must be kept secure. You are responsible for activity carried out through your account unless caused by our own act or omission.
2. PRODUCTS
2.1 Product descriptions, specifications, photographs and other information are provided to help identify the products offered for sale.
2.2 We take reasonable care to ensure that product information is accurate. However, manufacturers may change packaging, labelling, formulations, dimensions or specifications from time to time.
2.3 Product photographs are illustrative. Minor differences in packaging or appearance that do not materially affect the product do not constitute a defect.
2.4 Availability displayed on our website may change and does not guarantee immediate dispatch unless expressly confirmed by us.
3. PRICES
3.1 Customers may be assigned a specific trade pricelist according to their account, brand, commercial arrangement or other agreed criteria.
3.2 Unless expressly stated otherwise, trade prices are displayed excluding VAT.
3.3 VAT will be charged at the applicable rate.
3.4 Delivery charges are additional unless the order qualifies for free delivery or we have agreed otherwise.
3.5 We may change prices for future orders at any time.
3.6 The price applicable to an order will normally be the price displayed or otherwise agreed when the order is submitted.
3.7 We reserve the right to correct obvious pricing, calculation or technical errors before fulfilling an order. If a material pricing error affects an accepted order, we will contact you before proceeding.
4. MINIMUM ORDER VALUE
4.1 Unless otherwise agreed by Core Trading in writing, the minimum trade order value is £500 excluding VAT and delivery charges.
4.2 The minimum order value applies to the qualifying goods subtotal.
4.3 Orders below the applicable minimum order value may not be able to proceed to payment or may be declined by us.
4.4 We may agree different minimum order values with particular customers, brands or distribution arrangements in writing.
5. VOLUME DISCOUNTS AND PROMOTIONS
5.1 Certain customers or products may qualify for volume discounts, promotional pricing or other incentives.
5.2 Where configured on our website, qualifying discounts may be calculated automatically according to the value of eligible products in the order.
5.3 Unless expressly stated otherwise, VAT, delivery charges and non-qualifying items are excluded when determining eligibility for volume discounts.
5.4 Discounts, promotions and special prices cannot be combined unless expressly stated otherwise.
5.5 We may introduce, amend or withdraw promotional programmes for future orders at any time.
5.6 A promotion or discount applying to one order does not create an entitlement to the same promotion or discount on future orders.
6. PLACING AN ORDER
6.1 An order submitted by you constitutes an offer to purchase the products identified in that order in accordance with these Terms.
6.2 You are responsible for checking the products, quantities, prices, delivery details and other order information before submitting your order.
6.3 Our acknowledgement of receipt of an order does not necessarily mean that we have accepted it.
6.4 An order becomes binding when we confirm acceptance of it or otherwise begin fulfilling it, subject to payment where required.
6.5 We may decline or cancel an order before fulfilment where reasonably necessary, including where:
- there has been an obvious pricing or technical error;
- payment has failed or been reversed;
- we reasonably suspect fraud or misuse;
- products have been discontinued or become unavailable;
- a supplier is unable to supply the goods;
- fulfilling the order would breach applicable law or a binding distribution restriction; or
- circumstances outside our reasonable control prevent fulfilment.
6.6 If we cancel an order after receiving payment because we cannot supply the relevant goods, we will refund the amount paid for the cancelled goods.
7. PAYMENT
7.1 Unless Core Trading has expressly agreed alternative credit terms in writing, payment is required in full when the order is placed.
7.2 Online payments may be processed through third-party payment providers such as Stripe.
7.3 Where payment is successfully processed, the amount may be captured at the time the order is placed even where some or all products are on pre-order or backorder.
7.4 Successful payment does not mean that all products are immediately available for dispatch.
7.5 Customers with separately approved credit facilities may be subject to additional payment terms agreed with Core Trading.
8. PRE-ORDERS AND BACKORDERS
8.1 Certain products may be offered for sale when they are not currently available from our physical stock.
8.2 Such products may be identified as pre-order, backorder, available to order, or by an estimated lead-time message.
8.3 By ordering such products, you acknowledge and agree that:
- payment may be taken in full when the order is placed;
- the products may not be available for immediate dispatch;
- Core Trading may place or commit to a corresponding order with its supplier in reliance on your confirmed order; and
- dispatch will take place when the relevant stock becomes available.
8.4 Where an estimated lead time is displayed, including an estimated 5–6 week lead time, that timeframe is an estimate and not a guaranteed delivery date.
8.5 Lead times may be affected by manufacturers, suppliers, production schedules, freight, customs, transport disruption or other circumstances outside our reasonable control.
8.6 We will use reasonable efforts to keep customers informed of material delays that come to our attention.
9. CANCELLATION OF PRE-ORDERS AND BACKORDERS
9.1 Once Core Trading has placed, committed to or reserved corresponding stock with its supplier in reliance on your confirmed pre-order or backorder, the order may not be cancelled simply because you have changed your mind.
9.2 You should therefore ensure that products, quantities and delivery details are correct before submitting a pre-order or backorder.
9.3 If you request cancellation before we have committed to the corresponding supplier order or reserved stock specifically for your order, we may agree to cancellation at our discretion.
9.4 If Core Trading is ultimately unable to supply a pre-ordered product, we may cancel the affected product or order and refund the amount paid for goods that we cannot supply.
9.5 Nothing in this section excludes or restricts any right or remedy that cannot lawfully be excluded, including rights relating to goods that are faulty, incorrectly supplied or materially not as described.
10. DELIVERY
10.1 Available delivery methods and applicable delivery charges will be displayed during checkout or otherwise communicated before the order is completed.
10.2 Delivery dates and timeframes are estimates unless we expressly agree in writing that a particular delivery date is guaranteed.
10.3 You are responsible for providing a complete and accurate delivery address.
10.4 You must ensure that somebody is available to receive the delivery where the carrier requires this.
10.5 Additional costs resulting from:
- an incorrect or incomplete delivery address;
- refused delivery;
- failed delivery;
- failure to collect a parcel;
- requested redelivery; or
- circumstances attributable to the customer,
may be charged to the customer where reasonable.
10.6 We may use third-party carriers and shipping providers to fulfil deliveries.
10.7 Tracking information may be provided where supported by the selected carrier.
11. PARTIAL DELIVERY AND BACKORDERS
11.1 Unless otherwise agreed, we may hold an order until all products are available so that the order can be dispatched together.
11.2 We may, where appropriate, offer or make partial deliveries.
11.3 Where an order is delivered in instalments, each delivery will form part of the same overall contract unless otherwise agreed.
11.4 A delay affecting one product does not automatically entitle the customer to cancel products that have already been supplied or committed to a supplier, subject always to rights that cannot lawfully be excluded.
12. INSPECTION OF GOODS
12.1 You should inspect delivered goods as soon as reasonably practicable after receipt.
12.2 Visible shortages, damage, incorrect products or other apparent delivery discrepancies should be reported to Core Trading promptly and preferably within 5 business days of delivery.
12.3 Where reasonably requested, you should provide photographs, packaging information, batch details or other evidence necessary for us to investigate the issue.
12.4 You should retain the relevant products and packaging while a claim is being investigated.
12.5 Failure to notify us within the suggested period will not remove any right or remedy that cannot lawfully be excluded.
13. RETURNS
13.1 As our sales are made to trade/business customers, there is no general right to return goods simply because you have changed your mind, unless we agree otherwise.
13.2 Discretionary returns require prior authorisation from Core Trading.
13.3 Goods returned without authorisation may be refused.
13.4 Where we agree to a discretionary return, products must normally be:
- unused;
- unopened;
- undamaged;
- in their original packaging; and
- suitable for resale.
13.5 For hygiene, safety and product-integrity reasons, opened or used cosmetics, beauty products, haircare products or other personal-care products will normally not be accepted for discretionary return.
13.6 This restriction does not apply where goods are faulty, incorrectly supplied or where we are otherwise legally required to accept their return.
13.7 Approved discretionary returns may be subject to reasonable delivery, collection or restocking costs where appropriate.
14. FAULTY, DAMAGED OR INCORRECT GOODS
14.1 If goods are faulty, damaged in transit, materially not as described or incorrectly supplied, please contact us promptly.
14.2 We may request reasonable evidence of the issue before approving a remedy.
14.3 Depending on the circumstances, an appropriate remedy may include replacement, repair, credit or refund.
14.4 Nothing in these Terms seeks to exclude obligations that cannot legally be excluded. UK government guidance confirms that business buyers retain implied rights, although some may be capable of contractual modification only where doing so is legally reasonable.
15. RESALE AND USE OF PRODUCTS
15.1 Trade customers are responsible for ensuring that their resale, marketing, storage and use of products complies with applicable law and any legitimate manufacturer or brand requirements communicated to them.
15.2 You must not remove, alter, conceal or interfere with legally required product labelling, safety information, batch numbers or other traceability information.
15.3 Products must be stored and handled in accordance with applicable manufacturer instructions.
15.4 You are responsible for ensuring that products are suitable for your intended commercial use or resale market.
16. TITLE AND RISK
16.1 Risk in the goods passes to the customer upon delivery, unless otherwise required by law or expressly agreed in writing.
16.2 To the extent permitted by law, title to goods will not pass to the customer until Core Trading has received payment in full for those goods.
16.3 Until title passes, the customer must take reasonable care of goods in its possession and must not deliberately remove identifying information relating to them.
17. LIABILITY
17.1 Nothing in these Terms excludes or limits liability where doing so would be unlawful.
17.2 In particular, nothing excludes or limits liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation; or
- any other liability which cannot lawfully be excluded or restricted.
17.3 Subject to section 17.1 and to the extent permitted by law, Core Trading will not be liable for:
- loss of profit;
- loss of revenue;
- loss of anticipated savings;
- loss of business;
- loss of goodwill;
- indirect or consequential loss,
arising from the supply or non-supply of products.
17.4 Subject to section 17.1, our aggregate liability arising from a particular order will, to the extent legally reasonable and permitted, be limited to the amount paid or payable to Core Trading for the goods giving rise to the claim.
17.5 Nothing in this section is intended to exclude responsibility where an exclusion would fail the applicable legal test of reasonableness. UK government guidance specifically notes that attempts to exclude certain liabilities in business contracts are subject to reasonableness requirements.
18. EVENTS OUTSIDE OUR REASONABLE CONTROL
18.1 We will not be responsible for delay or failure to perform caused by circumstances outside our reasonable control.
18.2 Such circumstances may include:
- supplier or manufacturer delays;
- shortages of raw materials or products;
- freight or transport disruption;
- customs delays;
- port disruption;
- industrial disputes;
- severe weather;
- fire or flood;
- epidemic or pandemic;
- acts or restrictions of government;
- war, civil disturbance or terrorism;
- failures of telecommunications or essential systems; or
- other events that we could not reasonably prevent.
18.3 We will use reasonable efforts to minimise the effect of such events and resume performance when reasonably possible.
19. INTELLECTUAL PROPERTY
19.1 All intellectual property rights in our website, Core Trading branding and original website content remain owned by Core Trading or our licensors.
19.2 Brand names, product images and trademarks belonging to manufacturers or suppliers remain the property of their respective owners.
19.3 Nothing in these Terms transfers ownership of any intellectual property rights to the customer.
20. DATA PROTECTION AND PRIVACY
20.1 We process personal information in accordance with applicable UK data-protection legislation and our Privacy Policy.
20.2 Information may be shared with service providers where reasonably necessary to process orders, take payments, deliver goods, maintain our website or comply with legal obligations.
20.3 Payment-card information may be processed directly by our payment provider and subject to that provider's applicable privacy and security arrangements.
21. ACCOUNT SECURITY
21.1 You are responsible for maintaining the confidentiality of your trade-account credentials.
21.2 You must notify us promptly if you believe your account has been accessed or used without authorisation.
21.3 We may temporarily suspend access where reasonably necessary to protect the customer, Core Trading or the security of our systems.
22. COMMUNICATIONS
22.1 We may communicate with you using the email address, telephone number or other contact information associated with your account.
22.2 Electronic communications relating to orders, payments, invoices, deliveries and account administration will be treated as normal business communications.
22.3 You are responsible for keeping your contact details accurate.
23. CHANGES TO THESE TERMS
23.1 We may update these Terms from time to time.
23.2 Updated Terms will apply to orders placed after the updated Terms take effect.
23.3 Unless required by law or agreed between the parties, changes will not retrospectively alter an order already accepted under an earlier version of these Terms.
24. SEVERABILITY
24.1 If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be treated as modified to the minimum extent necessary to make it valid where possible.
24.2 If modification is not possible, the affected provision will be treated as deleted without affecting the validity of the remaining provisions.
25. WAIVER
25.1 If either party delays or fails to exercise a right under these Terms, this does not automatically waive that right.
25.2 A waiver relating to one breach does not constitute a waiver of any subsequent breach.
26. THIRD-PARTY RIGHTS
26.1 Unless expressly stated otherwise, a person who is not a party to the contract has no right to enforce these Terms.
27. ENTIRE AGREEMENT
27.1 These Terms, together with the relevant order, any expressly agreed written commercial terms and any policies expressly incorporated into the contract, constitute the agreement between the parties concerning that order.
27.2 Nothing in this section excludes liability for fraud or fraudulent misrepresentation.
28. GOVERNING LAW AND JURISDICTION
28.1 These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales.
28.2 Subject to any mandatory legal requirements, the courts of England and Wales will have jurisdiction in relation to disputes arising from these Terms or an order.

IMPORTANT NOTICE FOR PRE-ORDERS
Pre-order and backorder products may be paid for in full when ordered. Once Core Trading has committed to or reserved the corresponding stock with its supplier in reliance on your order, the order cannot normally be cancelled simply because you have changed your mind.
Estimated lead times, including 5–6 week estimates, are estimates only and are not guaranteed delivery dates.
